These Terms of Use (“Terms”) govern your access to and use of the website and services operated by Founderistry LLC (“Company,” “we,” “us,” or “our”), including any content, digital products, downloads, templates, courses, and related resources (collectively, the “Services”).

By accessing or using the Services, or by purchasing any product from us, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services and make purchases.

These products are intended for U.S.-based businesses and U.S. law frameworks. We do not provide products tailored to the laws or regulations of any other country or region.

2. Purchases, Payments, and Delivery

2.1 Pricing and Payments

All prices are listed in USD unless stated otherwise. Payments are processed through third-party payment processors (e.g., Shopify Payments, Stripe, PayPal). We do not control and are not responsible for payment processor actions or outages.

2.2 Digital Delivery

Digital products are typically delivered instantly (or shortly) after purchase via download link and/or email. You are responsible for providing a valid email address and maintaining access to it.

2.3 Taxes

You are responsible for any applicable taxes, duties, or fees associated with your purchase.

3. Refunds and Returns

Because we sell digital products and downloadable content, all sales are final unless required otherwise by applicable law.

If you experience a technical issue accessing your purchase, contact us and we will make reasonable efforts to help you access the product.

4. License to Use Digital Products

When you purchase a digital product from us, you receive a limited, non-exclusive, non-transferable, revocable license to download and use the product for your own business use (or your personal use) in accordance with these Terms.

Unless your product listing explicitly states otherwise, you may not:

  • resell, redistribute, or share the product (or any portion of it) with others;
  • publish the product online (including in templates libraries, Google Drives, shared folders, or marketplaces);
  • claim the product as your own work;
  • create derivative products for sale using our templates or content; or
  • use the product to provide services to third parties where the deliverable is primarily our template/content.

5. Intellectual Property

All content on the Services, including text, templates, PDFs, videos, course materials, graphics, branding, and downloads, is owned by Founderistry LLC or its licensors and is protected by intellectual property laws.

You may not use our trademarks, logos, or branding without our prior written permission. Please read more about what you can and cannot do with your purchases from us in the Licensing Agreement.

6. User Conduct and Prohibited Uses

You agree not to:

  • use the Services for unlawful purposes;
  • attempt to reverse engineer, copy, scrape, or disrupt the Services;
  • bypass download limits or security controls;
  • upload malware or engage in harmful conduct; or
  • infringe our intellectual property rights.

7.1 Educational Information Only (Not Legal Advice)

The Services and all products are provided for educational and informational purposes only. We are not a law firm, and nothing we provide is legal advice. Your purchase or use of our Services does not create an attorney-client relationship or any fiduciary relationship.

7.2 You Are Responsible for Compliance

Laws and requirements vary by jurisdiction and change over time. You are solely responsible for ensuring that anything you use from our Services is appropriate for your business and complies with applicable laws (including federal, state, local, and industry rules).

7.3 No Guarantees

We make no guarantees about outcomes, business results, legal enforceability, compliance, profits, or performance from using our products. Any examples or explanations are illustrative and may not apply to your situation.

To the maximum extent permitted by law, Founderistry LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services or products.

To the maximum extent permitted by law, our total liability for any claim related to the Services or products will not exceed the amount you paid to us for the product(s) giving rise to the claim.

Some states do not allow certain limitations of liability, so parts of this section may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Founderistry LLC, its owners, managers, officers, employees, contractors, and affiliates from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your violation of these Terms, or your violation of any law or rights of a third party.

10. Third-Party Services and Links

We may link to third-party websites or services (including payment processors). We are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk.

11. Termination

We may terminate or suspend your access to the Services at any time if we believe you have violated these Terms. Sections intended to survive termination (including IP, Disclaimer, Limitation of Liability, and Indemnification) will survive.

12. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date will reflect the latest version. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of laws principles.

14. Dispute Resolution (Optional)

Any dispute arising out of or related to these Terms or the Services will be resolved through good faith negotiations and, if unsuccessful, binding mediation on an individual basis, and you waive any right to participate in a class action. The mediation will take place in Maricopa County, Arizona unless otherwise required by law.
